The website, www.exportersindia.com ("Site") is an electronic web based platform for exchanging, exploring and enhancing business online by searching and interacting with suitable companies. It is owned and managed by Weblink .IN Pvt. Ltd. ("Company") with its registered office at 33 & 33A, Rama Road, Industrial Area, Near Kirti Nagar Metro Station, New Delhi, 110015 (India). The Pay via ExportersIndia is a service provided by ExportersIndia.com.
Any and all use of the Pay via ExportersIndia (PVEI) is subject to, and constitutes acknowledgment and acceptance of, the following Terms and Conditions ("Terms"). It is mandatory for all users to have read carefully, fully understood and be in total agreement to the below mentioned Terms before they proceed to use any of the Pay via ExportersIndia services of the Site. The PVEI Services are available only to those individuals, firms or companies who can form legally binding contracts under the Indian laws. Weblink.In Pvt. Ltd. may amend these Terms of Use at any time by posting the amended version on this site. Such amended version shall automatically be effective upon its posting on this site. It is the responsibility of the User to review the Terms and Conditions at regular intervals and comply with the same.
Definition clauses:
User: For purposes of this Agreement, a "User" is a retailer /supplier / trader /manufacturer /service provider who accesses the Site and lists/displays their product / service and has registered with ExportersIndia.com as a registered User or as a paying customer for a specific service provided by ExportersIndia.com. A User includes the person using this Site and any legal entity which may be represented by such person under actual or apparent authority.
Buyer: The end users of the User who wish to procure a service or a product from the User.
Pay Via ExportersIndia or PVEI Services: It is an account service wherein ExportersIndia.com will be an intermediary facilitating the sale and purchase transactions concluded between the users of the Site.

The User hereby represents and warrants that:-
- The User wishes to enable online payment services to the End Users of the User who wish to procure a service or product from the User as listed/displayed at the User’s Website, listings or other such locations at ExportersIndia.com
- The User authorizes ExportersIndia.com to facilitate the Transactions of the End Users for the purchase of products/services of the User.
- The User agrees to provide all the requisite details of the deal made with the End User in written format and share the same copy to ExportersIndia.com as well.
- The User authorizes ExportersIndia.com to obtain payment gateway services from third party payment aggregators to enable such online payment services.
- ExportersIndia.com has entered into a Merchant Services Agreement (“MSA”) with Cashfree wherein the Payment Aggregator services are provided by Cashfree to ExportersIndia.com.
- The User agrees and accepts to avail the provision of the third party payment aggregator services through the ExportersIndia.com, from Cashfree with effect from the Execution Date hereof.
- Deal / Settlement amount can not exceed Rs. 25000
- The payment received from the End User (Buyer) will be settled by ExportersIndia.com using the Cashfree Services to the User’s Bank account only post receipt of confirmation of delivery received from the End User as a mark of approval related to quality, quantity etc.
- The User agrees to be solely responsible for delivery of the order and ExportersIndia.com shall not be liable for losses of any nature ensuing due to any business deal made by the User with its End User using ExportersIndia.com services.

The User hereby authorizes ExportersIndia.com to debit to/from the account of the User, from time to time, to recover any amounts due from the User or incurred by ExportersIndia.com and Cashfree on account of the following:
- Chargeback of Transactions claimed by the Buyer; or

Any penalties, charges/fees, consequential loss or claims including but not limited to legal claims that may be made against Cashfree by Payment Service Providers, End Users or regulatory authorities. These amounts shall include without limitation any costs arising as a result of
- Excessive Chargeback of Transactions or
- failure to provide Transaction related supporting documents or
- End User disputes
Cashfree as well as ExportersIndia.com shall under intimation to the User be entitled for the above stated.
- All necessary compliance needs to be ensured by the User. The User shall provide all requisite support as may be mandated by ExportersIndia.com as well as Cashfree from time to time with reference to the integration of Cashfree’s systems with the system of the User.
- The User shall provide necessary documentation to the acquiring banks as may be mandated from time to time.

The User hereby authorizes ExportersIndia.com to instruct, permit and authorize Cashfree to receive, hold, disburse the proceeds of the Transactions done by the End Users after deducting the commission of Cashfree to the User’s Bank Account the details of which are as mentioned below

- The User hereby acknowledges and agrees that ExportersIndia.com shall provide the PVEI Services to the User in accordance with the terms and conditions of the MSA.
- The Users need to inform ExportersIndia.com with all the requisite details of the finalized deals before processing the transaction. This is mandatory to ensure that ExportersIndia.com tracks the transaction and failure to inform in advance will cause trouble in tracking as well as dispute resolution in future with no liability on ExportersIndia.com.

The User agrees to pay the applicable Payment Gateway charges/fees on each transaction as tabulated below. The Transaction Fee ('TDR') shall be deducted by Cashfree from the amount payable to the User in respect of each completed Transaction. Cashfree reserves the right to revise the Fee periodically, and ExportersIndia.com will intimate the User of any such change within reasonable time.

- The deal between the User & the End User should be in toto i.e the bills / invoice / email should be raised as per the quantity and quality of product delivered. ExportersIndia.com would have no liability in settling the part-payment transactions. The User is to manage the settlement in such a manner so that the payments are received in advance for the total delivery or split delivery into multiple orders with matched payment transactions (not exceeding Rs.25000 per transaction) in case it is agreed by the User and the End User. The User has to take sole responsibility about full or partial deal terms and ExportersIndia.com will have no role in business materialization or finalization.
- The Deal should always be finalized in written format and should clearly dictate the terms of business including specifications, quality, pricing, quantity, delivery date, additional charges etc. This is mandatory for every deal and is vital for dispute resolution if any as the decision would be given in favor of the User who is able to satisfy all the terms of the deal.
- The User agrees and acknowledges that in processing the Transactions, though ExportersIndia.com shall not be obligated to verify or investigate or enquire into the identity of the sender, or the message integrity, of any communications, orders or messages and ExportersIndia.com shall been entitled to rely upon all electronic communications, orders or messages sent to ExportersIndia.com through the Processing Mechanism. Under no circumstances the User shall dispute such reliance by ExportersIndia.com. ExportersIndia.com shall not be bound by or obligated to act, on any electronic communications, orders or messages received on-line, from the User or the End User, which do not properly utilize the security measures, as may be applicable from time to time.
- ExportersIndia.com is entitled to request a particular document, bills / invoice / email, proof of delivery or any other supporting documents and as and when it is requested, the same shall be handed over to ExportersIndia.com within two (02) days of the request. If Cashfree or ExportersIndia.com incur any loss owing to the non-compliance, the same shall be made good by the User, inclusive of all charges, interest and costs.
- ExportersIndia.com shall transfer the amount (after deducting Payment Gateway charges/fees) received from the End User to the Users account on receipt of satisfactory delivery confirmation from the End User.
- Product/Service has to be delivered within 30 days of the transaction done by the End User failing which the payment shall be refunded to End User.
- The User agrees to be solely responsible for delivery of the order and shall ensure that the delivery is accurately matched with order in terms of quality, quantity, shipping. In case any dispute is raised by End User about product condition / quality / quantity etc., the payment would be put on hold (upto maximum 30 days) until it is resolved between them. In case the User’s delivered order fails to satisfy the End User, then the End User shall return the order to the User and on the User’s successful confirmation of order return, the payment will be refunded to the End User. The User understands that the responsibility for any type of loss (financial or physical) that arises due to product delivery issue shall solely be borne by the User.
- As and when requested by the any Regulator RBI, Card Associations or law enforcement, ExportersIndia.com with or without intimation shall be entitled at any times to disclose any and all information concerning the User Agreement and transactions of the User, within the knowledge and possession of ExportersIndia.com in connection with any card facility provided.
- At all times End-user details and information relating to passwords/pins and other private matters related to the PVEI Services and Cashfree Services need to protected and the User shall ensure that neither the User nor any of its employees are privy to any information to the same. The User shall not reverse engineer, decompile of disassemble any software shared/disclosed by ExportersIndia.com as well as Cashfree.
- Notwithstanding anything contained in this Addendum, ExportersIndia.com disclaims all warranties, express or implied, written or oral, including, but not limited to, warranties of fitness for a particular purpose with respect to the PVEI Services or otherwise made as regards this Addendum. User acknowledges that the PVEI Services are provided on an “As Is” basis and accepts that the PVEI Services may not be ‘uninterrupted’ or ‘error free’. The User also acknowledges that the services provided by the Cashfree which is passed on to the ExportersIndia.com, can be in any event be brought to an abrupt end in any event whatsoever by ExportersIndia.com and/or Cashfree, for any reason whatsoever and in such an event the PVEI Services will in turn be terminated without ExportersIndia.com having to be given any reason whatsoever.
- Interruption in services: In case of any event of interruption to the PVEI Services or loss of use and/or access to ExportersIndia.com website, failure to connect to Cashfree Services and the Payment Gateway Provider’s Processing Mechanism and services, ExportersIndia.com’s sole obligation and the User‘s sole exclusive remedy shall be to use all reasonable endeavors to restore the PVEI Services and/or access to the Processing Mechanism as soon as reasonably possible.
- Transactions & Chargebacks: The User hereby agrees and undertakes that the User shall honor all Transactions and be solely responsible / liable for any chargeback or charges which prove to be uncollectible and further agrees, confirms, undertakes and guarantees to make payment(s) towards such chargeback or such uncollectible charges, as the case may be without any demur, protest, dispute or delay.
- Disputes: In case any dispute is raised by the End User to ExportersIndia.com, the decision taken by ExportersIndia.com will be deemed as final. Both the User & the End user must accept and adhere to it without any further petitions and submissions.
- Intellectual Rights: The User acknowledges and agrees that ExportersIndia.com owns or has the right to use all the intellectual property incorporated in the software and associated with the PVEI Services. This Addendum does not grant the User nor any of its End Users, any rights to, or in, patents, copyrights, trade secrets, trade names, trademarks (whether registered or unregistered), or any other rights or licenses in respect of the software or in relation to the PVEI Services, other than as specified in this Addendum. The User shall not copy, modify, duplicate, create derivative works from, frame, mirror, republish, display, transmit, or distribute, all or any portion of the software in any form or media, or by any means, attempt to reverse compile, disassemble, reverse engineer or otherwise, reduce to human-perceivable form, all or any part of the software. The User shall not access any part of the software, in order to build a product or service which competes with the software or the businesses of ExportersIndia.com.
- The User shall at all times be liable for breach of any of the terms and conditions of this Addendum.

The User hereby shall, defend, indemnify and hold harmless ExportersIndia.com, against all actions, proceedings, claims, liabilities (including statutory liabilities), penalties, demands and costs (including without limitation, legal costs), awards, damages, losses and/or expenses however arising out of:
- Any claims or proceedings brought by the End User or any other person against ExportersIndia.com, in respect of any products/services offered by the User;
- Any gross negligent act of the User’s agents, employees, licensees or End Users;
- Any fines, penalties or interest imposed directly or indirectly on ExportersIndia.com on account of the User’s products/services or Transactions conducted through the User under this Addendum; and
- Breach of any of the terms and conditions of this Addendum and also for any misrepresentation, fraud or gross negligent act of its respective agents, employees, licensees or End Users.
- This PVEI Services may be terminated by the User and/or ExportersIndia.com without being required to assign or give any reasons by giving thirty days (30) days prior notice in writing to the other. However, ExportersIndia.com reserves the right to terminate the provision of PVEI Services forthwith, if the User fails to perform its obligations, in case of fraud, or if, the User has violated any of the terms of this Addendum.
- The User assures and guarantees ExportersIndia.com that the User complies with all government laws, rules, and regulations applicable to its business and supports the eradication of corruption. The User is committed and complies with Anti-Bribery/Anti-Corruption, and Anti-money laundering related laws, regulations, sanctions and guidelines including but not limited to the minimum requirements of Anti-Financial Crimes Laws. The User agrees to not deal with any acts that may be deemed as money-laundering and not enter into agreements with any person listed in sanctions list of state authorities or organizations. The User also should be compliant with and have necessary provisions to detect violations of all applicable Anti-Financial Crimes Law.
- The User hereby expressly agrees not to directly or indirectly deal in such product(s) or service(s) in restricted categories as per the laws and regulations of Indian Government and in line with the International laws at any time during the subsistence of this Agreement.
- This Agreement will bind the successors and permitted assigns of the User and the User will obtain prior consent from ExportersIndia.com before any assignment of this Agreement.
- This Addendum is co-terminus with the Terms of Agreement of the Site i.e. ExportersIndia.com. Save and except as specifically stated herein above all other terms, conditions and covenants contained in the Terms of Agreement together with its successive Addendums, if any, shall remain unchanged and shall be fully applicable, enforceable and binding on the Parties.
- This Addendum shall be governed by the laws of India and shall be subject to the exclusive jurisdiction of the courts at Delhi.
The User explicitly acknowledges and agrees that the User has read, reviewed and understood this Agreement.
IN WITNESS WHEREOF, the Parties have executed this Agreement by their duly authorized representatives as of the date first set forth above.
